Terms of Service

1.1 Eligibility

By using the Services, you represent and warrant that you:

1. Are 18 years of age or older;
2. Have the legal capacity to enter into this Agreement and are not barred from using the Services under any applicable law;
3. Are not located in, under the control of, or a resident of any country subject to applicable international sanctions or trade restrictions;
4. Are either (a) using the Services only for your own personal use, or (b) using the Services for another entity with full authorization from such entity, and you have authority to agree to the terms of this Agreement on behalf of such entity; and
5. Will comply with this Agreement and all applicable local, national, and international laws, rules, and regulations in your usage of the Services.

If you do not meet all of these requirements, you must not access or use the Services.

1.2 Changes to Our Services

We may update this Agreement or change, suspend, or limit features of our Services at any time.

• You are responsible for checking this Agreement regularly for any changes.
• For significant changes we will try to give you reasonable advance notice.
• For urgent changes related to security, safety, legal or regulatory requirements, we might not be able to notify you beforehand, but we will let you know as soon as we can.
• If you don't agree with any changes, your only option is to stop using our Services.
• By continuing to use our Services after changes take effect, you accept those changes.

1.3 Setting Up Your Rehoboth Wallet

To use the Services, you will need to set up a Rehoboth Wallet. Here's what this means:

• You're using this for yourself or an authorized entity. By setting up your Rehoboth Wallet, you confirm you're either using it for yourself or you have permission to act on behalf of the entity you represent.
• We do not require your name, email, or other directly identifying information to use the Services. However, certain technical information — such as your wallet address, device information, and blockchain transaction data — may be collected. For more details, please see our Privacy Policy.
• Keep your Services credentials secure. Never share your private keys, seed phrase, or access credentials with anyone. If you notice any unauthorized use, notify us immediately.
• You are responsible for all Rehoboth Wallet activity. Any actions taken through your Rehoboth Wallet are your responsibility, whether you knew about them or not.
• We have discretion about your access. We can refuse to provide Services, limit how many wallets you can create, or restrict your access to certain features.
• We may suspend or limit access to your Rehoboth Wallet if you provide false or incomplete information, we suspect your wallet is being used to violate this Agreement, or you don't meet our requirements.

1.4 Accessing Our Services

To use the Services, you will need:

• Your own devices connected to the internet. You are responsible for having the necessary equipment and internet connection. We don't cover any internet fees or data charges you incur while using our Services.
• An understanding of service availability. While we work hard to provide reliable service, the Services might occasionally be unavailable due to technical problems, scheduled maintenance, or circumstances beyond our control.
• Acceptance of occasional downtime. If for any reason the Services are inaccessible or inoperable, you agree to hold harmless Havilah Blockchain Studios Ltd for any impact this may have on you or your use of the Services.

2.1 Digital Interface

The Services allow you to create a Rehoboth Wallet, which generates and manages cryptographic keys for your accounts across supported blockchain networks. The Services provide a graphical user interface to view your information and create transactions on supported blockchain networks. While those networks themselves are not part of our Services, the Services enable you to interact with them.

2.2 Use of Supported Blockchain Networks and Their Limitations

The Services enable you to view, hold, and transfer digital asset balances, undertake certain transactions, interact with decentralized applications, and otherwise transact through supported blockchain networks. Rehoboth Wallet currently supports the Stellar Network and will continue to expand support for additional networks over time.

Activities on supported blockchain networks are powered by independent, decentralized servers and are not controlled by us or any other single entity. We do not and cannot guarantee the successful operation, uptime, security, or functioning of any blockchain network. We cannot prevent, erase, reverse, hide, fix, or otherwise change any transaction submitted on a blockchain network. All activity and data on public blockchain networks are permanent and public.

You agree and acknowledge that any use of a supported blockchain network is made solely at your own risk and that we bear no responsibility or liability for your use of any blockchain network, including, without limitation, for any harm, loss, or damages arising from transactions sent to wrong addresses, incorrectly constructed transactions, software and network problems, technical failures, unauthorized access to any accounts, legal and regulatory matters, or fraud conducted by third parties.

2.3 Your Digital Assets — Important to Know

The Services help you manage your digital assets across supported blockchain networks, but here are some important things to understand:

• These are not traditional currencies. Digital assets accessed through the Services are not legal tender, are not backed by any government, and are not protected by any government deposit or investor protection scheme.
• Values can change dramatically. The value of your digital assets can be highly volatile and could potentially drop to zero.
• We don't control or guarantee values. The Services are not responsible for the value of any digital assets shown in the app and make no claims about their worth.
• Do your own research. You agree to investigate any digital assets before acquiring them. Any digital asset you acquire using the Services is done voluntarily.
• You accept the risks. All transactions are voluntary and entirely at your own risk.

2.4 Your Key, Your Responsibility

When setting up your Rehoboth Wallet, the Services generate cryptographic private and public key pairs for your accounts on supported blockchain networks.

You agree to store, outside of the Services, a backup of your private key and all related credentials, including any passphrases, mnemonic phrases, identifiers, backup phrases, and network addresses. If you do not maintain a backup of your private key and data outside of the Services, you will not be able to access your digital assets if the Services are disrupted or discontinued. We will not maintain nor are we responsible for maintaining any data on your behalf.

You are solely responsible for the secure storage of any digital assets accessed through your Rehoboth Wallet, your user key, and any other related private keys in your possession. In no event will Havilah Blockchain Studios Ltd be liable for the security or control of any digital assets, user keys, recovery keys, or other credentials held in or related to the Services.

2.5 How Your Transactions Work

Your Rehoboth Wallet, via the Services, allows you to create, sign, and submit transactions to supported blockchain networks. Here's how it works:

• Your device handles the signing. The Services use private key information stored on your device to sign transactions you initiate.
• Transactions can't be undone. Once a transaction is signed and submitted to a blockchain network, you cannot cancel, reverse, or change it.
• The network might affect your transaction. A transaction may fail to execute or be delayed if it does not meet network requirements or encounters other technical issues beyond our control.
• We're not responsible for network actions. Havilah Blockchain Studios Ltd will not be responsible for any consequences if a blockchain network affects your transaction in any way.

2.6 Fees

Network Requirements

You are responsible for any minimum balance requirements or transaction fees charged by the supported blockchain network you are using.

Rehoboth Wallet Fees

Currently, Havilah Blockchain Studios Ltd does not charge fees for use of the Services. However, third-party services and ramps may charge their own fees, and we may introduce fees in the future. If we add fees, we will clearly display them before you incur any charges.

3.1 Third-Party Services & Your Responsibilities

The Services may provide links, integrations with, or access to third-party websites, applications, content, or resources ("Third-Party Services"). Please understand the following:

• Access to Third-Party Services is for convenience only. We do not exercise control over their content or operations.
• No warranties or endorsements. We do not warrant, endorse, or assume responsibility for the availability, legitimacy, content, products, or services offered by Third-Party Services.
• Assumption of risk. You acknowledge sole responsibility for and assume all risk arising from your use of any Third-Party Services.
• Separate terms apply. Your use of Third-Party Services is governed by that provider's own terms and conditions.
• Duty to review terms. You are responsible for reviewing and understanding all applicable terms before engaging with any Third-Party Service.

3.2 Understanding Ramps

The Services may allow you to interact with third-party services that provide conversion between traditional currencies and digital assets:

• What Ramps do: Ramps provide on-ramp functionality (converting traditional money to digital assets) and off-ramp functionality (converting digital assets back to traditional money).
• Independent status: Ramps operate as independent Third-Party Services. Havilah Blockchain Studios Ltd does not provide these services.
• Terms and governance: Your use of any Ramp is governed by that Ramp's own terms and conditions, not ours.
• Risks involved: Using Ramp services involves various risks including potential loss of funds, software bugs, unavailability of blockchain networks, and risks related to sharing your data with the Ramp.
• Limitation of liability: Havilah Blockchain Studios Ltd is not responsible for any loss or delay in accessing your digital assets when issues occur in connection with a Ramp's services.

4.1 Warranty Disclaimers

YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATION OR WARRANTY, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HAVILAH BLOCKCHAIN STUDIOS LTD SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND/OR NON-INFRINGEMENT. HAVILAH BLOCKCHAIN STUDIOS LTD DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES THAT ACCESS TO THE SERVICES WILL BE CONTINUOUS, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT THE SERVICES ARE ACCURATE, COMPLETE, RELIABLE, OR CURRENT; THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS. HAVILAH BLOCKCHAIN STUDIOS LTD IS NOT ACTING AND CANNOT ACT AS YOUR ADVISOR WITH RESPECT TO ANY FINANCIAL, LEGAL, INVESTMENT, OR TAX MATTERS.

4.2 Technology Disclosures & Disclaimers

WITHOUT LIMITING THE GENERALITY OF SECTION 4.1: YOU ACKNOWLEDGE THAT SUPPORTED BLOCKCHAIN NETWORKS ARE DECENTRALIZED NETWORKS NOT OPERATED OR CONTROLLED BY HAVILAH BLOCKCHAIN STUDIOS LTD OR ANY THIRD PARTY. ALL TECHNOLOGY, SERVICES, AND INFORMATION RELATED TO SUPPORTED BLOCKCHAIN NETWORKS ARE PROVIDED ON AN "AS IS" BASIS. HAVILAH BLOCKCHAIN STUDIOS LTD EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES RELATED TO ANY BLOCKCHAIN NETWORK, DIGITAL ASSETS, OR TECHNOLOGICAL DISRUPTIONS OR FAILURES.

4.3 Regulatory Disclosures & Disclaimers

You acknowledge that Havilah Blockchain Studios Ltd: (i) does not provide securities-related services and is not registered with any securities regulatory authority; (ii) is not a money transmitter or money service business and does not convert or transmit digital assets on anyone's behalf; and (iii) does not provide investment, financial, tax, or legal advice. The information provided in connection with the Services does not constitute investment advice, financial advice, trading advice, or any other sort of advice. You are solely responsible for determining and complying with all applicable legal and regulatory requirements that may govern your use of the Services.

4.4 Cryptographic Risks & Acknowledgements

When you use our Services, you confirm the following:

• You understand the risks of cryptographic systems and blockchain-based software.
• You recognize that cryptography constantly evolves and new developments could affect the security of digital assets.
• You understand that digital assets can be extremely volatile in value and you could potentially lose your entire investment.
• You acknowledge that transaction costs on supported networks may change and increase over time.
• You accept these inherent risks by using our Services.

4.5 Third-Party Risks

You understand that conducting transactions involving any third-party will inherently carry risks that Havilah Blockchain Studios Ltd does not and cannot control. Havilah Blockchain Studios Ltd disclaims any and all liability arising from your use of Third-Party Services or any transactions you may conduct with third parties via the Services.

4.6 Application Security

You acknowledge that blockchain applications are code subject to flaws and you are solely responsible for evaluating any code provided by the Services and the trustworthiness of any third-party websites, products, or applications you access through the Services. Such applications may cause the loss of property or identity. Havilah Blockchain Studios Ltd cannot be held liable for your interaction with such applications through the Services.

4.7 Network Disruption

In the event of a network disruption of any supported blockchain network, Havilah Blockchain Studios Ltd may not be able to support activity related to your account. Transactions may not be completed, may be partially completed, or may be substantially delayed. Havilah Blockchain Studios Ltd is not responsible for any loss caused directly or indirectly by a fork or other network disruption.

7.1 Our Proprietary Rights

The Rehoboth Wallet application, including how we have configured it, its design, interface, and all content (text, images, videos, etc.), is the property of Havilah Blockchain Studios Ltd. You may use our Services for your personal, non-commercial purposes. You may not modify, copy, distribute, sell, or create derivative works of our Services for commercial or public purposes without our prior written permission.

7.2 Trademarks

The Rehoboth Wallet name and design are trademarks or service marks of Havilah Blockchain Studios Ltd and may not be copied, imitated, or used, in whole or in part, without our prior written permission.

7.3 Limited License

We grant you a limited, nonexclusive, nontransferable license to use our Services as we provide them for personal, non-commercial purposes. You may not copy, sell, license, reverse engineer, or create derivative works from the Services for commercial purposes without our written permission.

8.1 Using Our Services Lawfully

You agree not to, under any circumstances:

• Use the Services to defraud, threaten, harass, stalk, spam, or abuse others;
• Act in a manner that violates any applicable local, national, or international law or regulation;
• Provide false or inaccurate information;
• Scrape or collect information from the Services without our written consent;
• Attempt to disrupt, interfere with, damage, or gain unauthorized access to any part of the Services or any connected network;
• Impersonate other users, our company, or our team members;
• Transmit viruses, malware, or other malicious software;
• Engage in phishing, spoofing, or other deceptive activities;
• Use the Services to fund or support fraudulent or unlawful activity including terrorism, money laundering, or unlawful money transmission;
• Engage in any activity deemed by Havilah Blockchain Studios Ltd to conflict with the spirit or intent of this Agreement or that may harm us, our users, or expose them to liability.

9.1 Governing Law

This Agreement and any action related to it will be governed by the laws of the Federal Republic of Nigeria, without regard to its conflict of laws provisions. You agree that any disputes arising out of or in connection with this Agreement or the Services will be resolved exclusively in the competent courts of Nigeria, and you consent to the personal jurisdiction of such courts.

9.2 Informal Resolution

Before filing any formal legal claim, you agree to first contact us at support@havilahblockchainstudios.com and attempt to resolve the dispute informally. Both parties agree to make a good faith effort to resolve any dispute within 30 days of written notice.

10.1 No Third-Party Beneficiaries

No provision of this Agreement is intended to provide or create any third-party beneficiary rights unless specifically provided otherwise herein.

10.2 Assignment

You may not assign, delegate, or transfer any of your rights or obligations under this Agreement without prior written consent of Havilah Blockchain Studios Ltd. We may assign our rights and duties under this Agreement to any party at any time, in our sole discretion, without notice to you.

10.3 Waiver

Any failure or delay by Havilah Blockchain Studios Ltd to assert a right or provision under this Agreement will not constitute a waiver of such right or provision.

10.4 Severability

If any provision of this Agreement is deemed unlawful, invalid, or unenforceable, that provision will be eliminated to the minimum extent necessary and will not affect the validity and enforceability of any remaining provisions.

10.5 Entire Agreement

This Agreement constitutes the complete and exclusive statement of the agreement between you and Havilah Blockchain Studios Ltd with respect to the Services and supersedes all prior understandings, agreements, representations, and warranties concerning the Services.

10.6 Termination, Suspension, and Survival

We reserve the right, in our sole discretion, to immediately suspend, freeze, or terminate your access to the Services if you are suspected of having violated any provision of this Agreement, believed to be in violation of applicable law, or believed to be involved in activities detrimental to the Services.

10.7 Your Right to Disconnect from the Services

You may disconnect from the Services at any time through the app settings. Upon disconnection:

• You remain responsible for any pending transactions
• You should transfer any digital assets to another wallet before disconnecting
• You will no longer have access to the Services

Disconnecting from the Services does not affect your assets on any blockchain network, which remain accessible with your private keys.

10.8 Events Beyond Our Control (Force Majeure)

If Havilah Blockchain Studios Ltd cannot fulfill parts of this Agreement due to events beyond our reasonable control — including floods, extreme weather, earthquakes, natural disasters, fires, wars, pandemics, riots, government actions, power outages, network failures, equipment malfunctions, or blockchain-specific issues such as network forks — we will not be considered in breach of this Agreement, and you cannot claim damages from us for such events.

10.9 Taxes Are Your Responsibility

You are responsible for determining what taxes apply to your use of our Services and for reporting and paying those taxes to the appropriate authorities. We do not determine, collect, report, or remit any taxes related to your transactions.

10.10 Our Relationship With You

Nothing in this Agreement creates a custodial arrangement, agency relationship, or trusteeship. We do not hold your assets or act as your agent or trustee.

10.11 How We'll Communicate With You

We will send you all communications electronically by posting them through our Services or by sending them to the email address you have provided via technical support or feedback. We recommend you save copies of our communications for your records.
